ARC Trust V Now American Finance Trust, Primed for NYSE Listing

American Realty Capital Trust V Inc., a publicly registered, non-traded real estate investment trust sponsored by AR Capital, is now officially known as American Finance Trust.

A majority of the company’s stockholders approved amendments to the company’s charter yesterday, following four adjournments beginning on June 16, 2015 in order to solicit additional affirmative votes.

The name change, along with the alterations to the company charter, paves the way for the company to list its shares on the New York Stock Exchange. As reported by The DI Wire in April, the company expects to begin trading under the ticker symbol “AFIN” during the third quarter of 2015. The article also noted that at the time of listing, the company will launch a tender offer to purchase up to $125 million of its shares of common stock.

The company, which has mostly focused on net lease real estate, will expand its investment focus to include originating and acquiring first mortgages and other debt securities tied to commercial real estate.

As of March 31, 2015, American Finance Trust’s portfolio includes 463 properties located in 37 states, with an aggregate purchase price of $2.2 billion.

American Finance Trust will become the second AR Capital-managed REIT to list its shares on an exchange this year. As reported by The DI Wire on June 3, Global Net Lease (NYSE:GNL) joined the NYSE earlier this month. It closed at $9.10 yesterday, despite the company’s open tender offer of $10.50 per share for up to $125 million worth of stock. The tender offer is scheduled to end on June 29.
