CFO Resigns from Two FS Investments BDCs

Michael Lawson has stepped down from his role as chief financial officer of FS Investment Corporation II and FS Investment Corporation III, two business development companies sponsored by FS Investments, formerly Franklin Square Capital Partners.

According to filings with the Securities and Exchange Commission, Lawson’s resignation was not due to any disagreement with the company, and FS Investments declined to comment.

To replace Lawson, William Goebel was appointed as CFO of FS Investment Corporation II, and Edward Gallivan, Jr. was appointed to the role at FS Investment Corporation III.

Goebel serves as the chief financial officer of multiple funds sponsored by the company and has more than 13 years of accounting and auditing experience with areas of focus in fair valuation, SEC reporting and new fund offerings. Prior to joining FS Investments, he held audit positions with Ernst & Young LLP. Goebel received his bachelor’s degree in economics from the Wharton School of the University of Pennsylvania.

Gallivan serves as the chief financial officer of FS Investment Corporation IV and FS Energy and Power Fund, two FS-sponsored business development companies. He previously served as a director at BlackRock where he was head of financial reporting for more than 350 mutual funds. Gallivan received his bachelor’s degree in accounting from Stonehill College in Massachusetts.

FSIC II and FSIC III focus primarily on investing in the debt securities of private U.S. companies. FSIC II went effective in February 2012 and has raised $3.3 billion in investor equity since inception. The company’s portfolio consists of investments in 140 portfolio companies with a fair value of $4.4 billion.

FSIC III went effective in December 2013 and has raised $2.6 billion in investor equity since inception. The company’s portfolio consists of investments in 118 portfolio companies with a fair value of $3.2 billion.
